Use of Services
WilyOp provides Amazon consulting services, including catalog management, SEO optimization, and content creation. Our services are intended for business use only. You agree to use our services in accordance with applicable laws and not for any illegal or unauthorized purposes. WilyOp is not responsible for Amazon account suspensions due to seller policy violations, nor for any penalties or restrictions imposed by Amazon as a result of non-compliance with their policies and guidelines.

Payment & Transactions
All payments for services must be completed prior to the commencement of work, unless otherwise agreed in writing. Fees are non-refundable except as required by law or as explicitly stated in a service agreement. WilyOp is not responsible for transaction fees or delays caused by third-party payment processors. If a retainer agreement is established on a monthly basis, payment shall be due at the beginning of each month. Alternatively, if negotiated, payments may be split into two equal installments, with half due on the 1st and the remaining half on the 15th of each month, unless otherwise specified in the agreement.

Refunds may be issued in specific cases where WilyOp is unable to provide the contracted service due to unforeseen circumstances, internal limitations, or operational constraints. Any refund request must be submitted in writing and will be reviewed on a case-by-case basis. Approved refunds will be processed within a reasonable timeframe.

Late Payments & Overdue Invoices
Payments must be made on time as per the agreed terms. If a payment is overdue, WilyOp reserves the right to suspend services until the balance is paid in full. Invoices that remain unpaid beyond 30 days may be subject to late fees or additional collection measures. Clients are responsible for any fees incurred due to late payments, including but not limited to collection costs and legal fees if applicable.

Intellectual Property
All content, materials, and strategies provided by WilyOp are the intellectual property of WilyOp and may not be copied, distributed, or used outside of the agreed-upon service scope without written permission.

User Responsibilities
Clients must provide accurate information necessary for service completion and comply with Amazon’s policies. WilyOp is not responsible for issues arising from incomplete or incorrect information provided by clients.

Third-Party Services
Our services may integrate with Amazon and other third-party platforms. We do not control or assume responsibility for their policies, updates, or actions. Clients are responsible for understanding third-party terms that may impact their business. Additionally, WilyOp is not responsible for any additional third-party fees, liabilities, or unforeseen costs associated with the use of these platforms. Clients agree to assume full responsibility for any external expenses incurred.

Disclaimers & Limitation of Liability
WilyOp provides services on an "as-is" basis and makes no guarantees regarding results. Outcomes will vary based on market conditions, competition, and other external factors beyond our control. We are not responsible for marketplace fluctuations, unforeseen algorithm changes, unforeseeable events beyond our control, or any other events that may impact results. We are not liable for financial loss, service interruptions, or any damages arising from the use of our services.

Force Majeure
WilyOp shall not be held liable for any failure or delay in performing its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, governmental actions, labor disputes, supply chain disruptions, acts of terrorism, pandemics, or technical failures. In the event of such an occurrence, WilyOp will make reasonable efforts to resume services as soon as possible.

Termination
WilyOp reserves the right to suspend or terminate services if a client violates these terms or engages in harmful activities. Either party may terminate services by providing 30 day’s written notice, subject to any applicable service agreements.

Changes to Terms
We may update these terms from time to time. Continued use of our services after changes are posted constitutes acceptance of the updated terms.

Governing Law
These Terms of Service are governed by the laws of the State of Washington, United States, without regard to its conflict of law principles. Any disputes arising under or in connection with these terms shall be resolved exclusively in the state or federal courts located in Washington. By using our services, you consent to the jurisdiction of these courts and waive any objections to venue or inconvenient forum. This agreement shall not limit any consumer protection rights that may be available under the laws of your jurisdiction.
